Terms of Service

Welcome to Haatzo. These Terms of Service (“Terms”) govern your access to and use of the Haatzo website, mobile applications, and services (collectively, the “Platform”). By creating an account, browsing, bidding, buying, or selling on the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
Haatzo is operated as a sole proprietorship by Lohit (“we”, “us”, “our”), based in India. The Platform is an intermediary that connects independent sellers with buyers; we are not the seller of the items listed except where expressly stated.
1. Definitions
- Buyer — a registered user who purchases or bids on items listed on the Platform.
- Seller — a registered user who has completed seller onboarding (including KYC where required) and lists items for sale on the Platform.
- Live show — a real-time video broadcast during which a Seller showcases items, runs auctions, and interacts with Buyers.
- Auction — a time-limited bidding event (English or Dutch) within a live show, ending in a sale to the winning bidder.
- Platform fee — the commission and transaction fees charged by Haatzo on completed sales.
2. Eligibility & Account
You must be at least 18 years old and capable of forming a binding contract under the Indian Contract Act, 1872, to use the Platform. By registering, you represent that all information you provide is accurate and that you will keep it updated.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at lohit@haatzo.com if you suspect unauthorised access.
3. Nature of the Platform
Haatzo operates as an “intermediary” under Section 2(1)(w) of the Information Technology Act, 2000, and complies with the due diligence requirements of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. We provide the technology infrastructure that enables Sellers to list items and Buyers to purchase or bid; we do not own, manufacture, or warrant the items unless explicitly stated.
Each transaction is a contract between the Buyer and the Seller. Haatzo facilitates payment collection and dispute resolution but is not a party to the underlying sale.
4. Buyer Obligations
As a Buyer, you agree to:
- Provide accurate shipping and contact information.
- Pay for any item you commit to buying, whether through a successful auction bid, a Buy It Now action, or a regular checkout.
- Inspect items upon delivery and report defects, damage, or material misrepresentation within the timeframe in our Refund Policy.
- Engage respectfully in chat during live shows. Harassment, hate speech, threats, and spam are prohibited and may result in account suspension.
A winning bid in an auction creates a binding obligation to purchase the item at the bid amount. Repeated failure to complete winning bids may result in your bidding privileges being suspended or revoked.
5. Seller Obligations
As a Seller, you agree to:
- Complete the required onboarding, including identity verification (KYC) where applicable, before listing items for sale.
- List only items that you legally own or are authorised to sell, that are not counterfeit, and that comply with applicable Indian law.
- Provide accurate descriptions, photographs, and condition disclosures. Material misrepresentation may result in refunds, removal of listings, and termination.
- Ship items within the timeframe specified in your listing (or, if none, within 7 business days of order confirmation), and provide tracking information where available.
- Comply with applicable tax obligations including GST registration and payment where required by Indian tax law. You are solely responsible for your tax filings; Haatzo does not provide tax advice.
- Respond to Buyer queries and dispute requests in good faith and within reasonable timeframes.
6. Prohibited Items & Conduct
The following are prohibited on the Platform:
- Items that are illegal under Indian law, including narcotics, weapons regulated under the Arms Act, wildlife and wildlife products covered by the Wildlife Protection Act 1972, and counterfeit goods.
- Tobacco, alcohol, and prescription medicines (sale of these requires regulatory licences we do not currently facilitate).
- Hate speech, sexually explicit content, content that depicts violence, and content harmful to minors.
- Personal data of third parties shared without their consent.
- Attempts to circumvent the Platform’s payment system (e.g. soliciting off-platform payments).
- Automated scraping, denial-of-service attempts, or unauthorised use of our API.
7. Payments & Fees
Payments are processed by Razorpay, a third-party payment gateway licensed by the Reserve Bank of India. By making a payment, you also agree to Razorpay’s applicable terms.
Haatzo charges a platform fee (commission) on successful sales. The current commission structure is communicated to Sellers during onboarding and may be updated with reasonable notice. Payment gateway charges and applicable taxes (GST) are additional and disclosed at checkout or in seller payouts.
Seller payouts are settled to the Seller’s registered bank account within the cycle disclosed during onboarding, typically after the standard refund window has elapsed and subject to KYC verification status.
8. Auctions
The Platform supports both English (ascending price) and Dutch (descending price) auctions. By placing a bid, you authorise Haatzo to charge the Buyer’s payment method for the bid amount plus applicable taxes and shipping if your bid wins.
We reserve the right to cancel an auction or invalidate a winning bid in cases of evident fraud, technical malfunction, or violation of these Terms. In such cases, no contract of sale is formed.
Some auction bids may be temporarily held for review (e.g. unusually high bids from new accounts). Held bids may be approved or rejected by the Seller; rejection of a held bid does not entitle the bidder to compensation.
9. Live Shows, Recording & User Content
Live shows are broadcast in real time and may be recorded for replay. By participating in a live show (as Seller, Buyer, or chat participant), you grant Haatzo a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, and display your contributions (including chat messages, video footage, and bids) for the purposes of operating, promoting, and improving the Platform.
You retain ownership of your content. You represent that you have all necessary rights to the content you upload and that it does not infringe any third party’s rights.
10. Intellectual Property
The Haatzo name, logo, trademarks, software, design, and the compilation of content on the Platform are owned by us and protected by Indian and international intellectual property laws. You may not use, copy, or imitate any of these without our written consent, except as permitted by fair use under the Copyright Act, 1957.
11. Suspension & Termination
We may suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent or harmful conduct, or where required by law. Sellers in good standing may close their accounts at any time after fulfilling outstanding orders. Buyers may close their accounts at any time, but pending orders and refunds will be settled according to their normal flow.
12. Disclaimers & Limitation of Liability
The Platform is provided on an “as is” and “as available” basis. Haatzo does not warrant uninterrupted operation, freedom from defects, or that the Platform will meet your specific requirements.
To the maximum extent permitted by law, Haatzo’s aggregate liability arising out of or relating to your use of the Platform shall not exceed the higher of (a) the total platform fees paid by you to Haatzo in the six months preceding the claim, or (b) ₹10,000. Haatzo is not liable for indirect, incidental, consequential, or punitive damages.
Nothing in these Terms limits liability for fraud, intentional misconduct, or any liability that cannot be excluded under Indian law.
13. Indemnification
You agree to indemnify and hold harmless Haatzo and its operator from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your violation of applicable law, or your infringement of any third party’s rights through your use of the Platform.
14. Governing Law & Disputes
These Terms are governed by the laws of India. Any dispute, controversy, or claim arising out of or in connection with these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts at Vijayawada, Andhra Pradesh.
15. Grievance Officer
In compliance with the Information Technology Act, 2000, Information Technology (Intermediary Guidelines) Rules, 2021, and the Digital Personal Data Protection Act, 2023, the designated Grievance Officer is:
We acknowledge complaints within 24 hours and aim to resolve them within 15 days, or such timeframe as required by applicable law.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email and/or a prominent notice on the Platform. Continued use after changes take effect constitutes acceptance of the updated Terms.
